1. Your agreement with us
These terms apply to Digital Marketing services supplied by AMEXIS AI PTY LTD, ABN 64 691 344 859, trading as AMEXIS.AI (we, us, our), to the customer identified in the accepted order (you, your).
Your agreement comprises these terms and the proposal, statement of work or checkout order you accept (Order). The Order identifies the services, scope, fees, start date and any specifically agreed arrangements. A later invoice does not by itself introduce a new contractual obligation. If there is a conflict, a specifically agreed term in your Order takes precedence, subject to rights that cannot be excluded by law.
You accept by signing or otherwise expressly accepting the Order, including selecting the agreement checkbox in Stripe checkout. If accepting for a business, you confirm you have authority to do so. These terms do not cover Business Communications, AI Voice Agents, AI Chat Agents or Business Automation.
2. Services and scope
Services may include SGEO (Search & Generative Engine Optimisation), SEO, Local SEO, Google Ads management, Meta Ads management and Website Design & Development. Only the work described in your Order is included. Services may be purchased independently.
We will perform agreed services with due care and skill. The Order should identify deliverables, reporting arrangements, dependencies and any ongoing hosting or maintenance. Extra work, material scope changes and additional charges require agreement before we proceed. A monthly service does not include unlimited work.
Unless expressly agreed otherwise in the Order before purchase, ongoing services are month-to-month with no fixed minimum term. One-off projects or expressly agreed minimum terms follow their stated milestones and termination arrangements.
3. Fees, advance payment and recurring authorisation
Your fees, currency, billing frequency and any setup costs are shown in the Order and checkout. The applicable GST treatment must be stated there. Ongoing monthly service fees are payable in advance on the billing date shown at signup and then monthly.
By completing recurring checkout, you authorise collection of the agreed recurring amount from your nominated payment method through Stripe until cancellation takes effect. Any direct-debit payment is also subject to the mandate presented at checkout. This authorisation does not permit unrelated or unagreed charges.
Keep your billing details current. If a payment fails, we may retry it and contact you to resolve it. We will give written notice and a reasonable opportunity to remedy non-payment before suspension, except where an immediate security or legal risk requires action. We will explain any effect on campaigns and delivery. No default interest, collection fee or penalty is imposed under these terms.
4. Advertising budgets and third-party costs
You pay advertising spend directly to the advertising platform, separately from our management fees. We will agree the budget and any authority to adjust it. We will not materially increase an agreed budget without approval.
Platform billing, refunds, credits and delivery rules are set by that platform. Campaign delivery and billing may not be perfectly even each day. Any additional software, stock asset, domain, hosting or third-party expense charged through us must be identified in your Order or approved separately.
5. Cancelling a monthly service
You may cancel a month-to-month service by giving 30 days’ written notice to info@amexis.ai. Identify your business and the service to cancel. The notice period starts when your email is received, not when we acknowledge it. We will confirm the effective date; if you do not receive confirmation, please follow up so a delivery problem can be resolved.
Cancellation takes effect exactly 30 calendar days after receipt of the notice, unless you nominate a later date. It is not extended to the end of a billing month. Services and fees continue during the notice period.
If a billing date occurs during the notice period, the final recurring fee will cover only the remaining days up to the cancellation date. We calculate that amount using the relevant monthly fee and the number of calendar days in that billing period. If an automatic payment has already collected more than this, we will return the excess to the original payment method. No recurring service fee is payable for time after cancellation takes effect.
Removing a payment method does not, by itself, give cancellation notice. Cancellation does not remove fees already properly incurred. Rights to end an agreement earlier for our material breach or under applicable law are preserved.
6. Refunds and adjustments
Subject to your legal rights, fees for services already provided are not refunded simply because you change your mind or do not use the service. Advance fees relating to time after the effective cancellation date will be refunded or adjusted as explained above.
For one-off work, any cancellation charge must reflect the work performed and approved, unavoidable commitments under the Order, rather than an automatic forfeiture of all fees. Nothing here limits a refund, remedy or consumer guarantee required by law.
7. Access, approvals and your responsibilities
Provide accurate business information, lawful materials, necessary permissions and timely access to the relevant accounts. Use appropriate access invitations rather than sending passwords through general enquiry forms. You retain responsibility for your products, offers, pricing and the accuracy of claims you approve.
We will identify material approvals required before publication or launch. Silence is not approval unless a specific approval process has been expressly agreed. If missing information or approvals delay work, we will explain the effect and agree revised priorities or timing. Delays do not automatically expand the agreed scope.
You must have the necessary rights and lawful basis to provide customer lists, tracking instructions, images or other materials. Both parties remain responsible for the laws applying to their own conduct.
8. Accounts, deliverables and licences
Your pre-existing brand, content, customer data, domains and business accounts remain yours. Access you grant to us does not transfer ownership. Advertising platforms may impose their own account rules.
For an outright purchase, ownership of the original, agreed deliverables created specifically for you transfers when the applicable fees are paid in full, excluding third-party materials and our pre-existing tools, templates and know-how. Where these are incorporated, we provide or arrange the rights needed for the agreed use, subject to disclosed third-party licence restrictions.
A website supplied as a licensed monthly product may remain our property with use permitted during the subscription, only if the Order clearly identifies that arrangement before purchase. Its hosting, export, buyout and post-cancellation rights must also be stated. An ongoing marketing retainer alone does not make all your content or accounts our property.
After cancellation, we will cooperate with a reasonable handover of customer-owned accounts and paid-for deliverables. We will identify any additional migration work and seek agreement to its cost before undertaking it. Platform restrictions and subscription licences may limit what can be exported. We will not withhold your pre-existing assets merely to secure payment of unrelated disputed fees.
9. Performance and third-party platforms
Search rankings, generative AI visibility, traffic, leads and sales depend on factors including platform changes, competition, budget, your offer and customer behaviour. We do not guarantee particular rankings, AI citations, volumes or financial outcomes. This does not reduce our obligation to perform the agreed work with due care and skill or honour an express commitment in your Order.
We may use third-party applications, tools and platforms to deliver the services. Their policies, availability and decisions are outside our direct control. We will explain material known dependencies and take reasonable steps within our scope to respond to issues. We remain responsible for our own actions and for subcontracted work we engage others to perform.
10. Confidentiality and personal information
Each party will protect the other’s non-public business, technical and financial information and use it only for the engagement. Disclosure is permitted to people who need it for that purpose and are subject to appropriate duties, with consent, or where required by law. Information already public or lawfully obtained independently is excluded.
Each party will comply with privacy obligations applying to it. Our Privacy Policy explains our general handling practices. Any particular data-processing, security or retention requirements for your project should be agreed before the relevant information is supplied.
11. Suspension and ending for breach
If either party materially breaches the agreement, the other may give written notice identifying the breach and a reasonable period to remedy it. If it remains unremedied, the affected service may be terminated. The remedy period must be appropriate to the breach and its consequences.
We may suspend the affected work immediately where reasonably necessary to address unlawful conduct, fraud or a serious security risk. We will explain the reason as soon as reasonably practicable, limit suspension to what is necessary, and discuss a way to resume where possible.
When an engagement ends, accrued payment obligations, confidentiality, applicable ownership and licence provisions, and provisions intended to survive continue. Ending for breach does not remove either party’s legal remedies. We will reconcile advance payments against services properly provided and any amounts lawfully due.
12. Changes to fees or these terms
We will give at least 30 days’ written notice of a proposed fee increase or material change affecting an active monthly subscription. The notice will explain the change and its proposed start date. No change applies retrospectively.
If you do not accept a change, you may give cancellation notice before it takes effect. The existing terms and fees will continue through your cancellation notice period, so you can leave without paying the increased rate. A change to a fixed-price project or agreed minimum-term commitment requires agreement unless already expressly provided for in the Order.
13. Responsibility and liability
Nothing in this agreement excludes, restricts or modifies a consumer guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law.
Subject to those rights and to the extent permitted by law, our aggregate liability for a claim relating to a service is limited to the fees paid for that service in the three months preceding the event giving rise to the claim. For a one-off project, the limit is the total fees paid or payable for that project. These limits do not apply to our fraud, wilful misconduct or liability that cannot lawfully be limited.
To the extent permitted by law, neither party is liable for indirect or consequential loss. A loss is not excluded simply because it involves revenue or profit if it is a direct loss or a recoverable amount under a right that cannot be excluded. Each party must take reasonable steps to reduce avoidable loss.
Each party remains responsible for its own breach, negligence and unlawful conduct, subject to the provisions above and applicable law.
14. Resolving concerns and general terms
Contact info@amexis.ai promptly with any concern, disputed charge or complaint. We will review the issue and discuss a practical resolution in good faith. This process does not prevent either party seeking urgent relief or exercising statutory rights.
New South Wales law governs this agreement. The parties submit to the non-exclusive jurisdiction of its courts, subject to mandatory legal rights. If a provision is unenforceable, it is severed to the extent possible without affecting the remainder. A waiver must be clear and does not waive later breaches.
Your accepted Order and these terms form the agreement for the specified services. They do not exclude liability for misleading conduct or other rights that cannot be excluded. Contact: AMEXIS AI PTY LTD, ABN 64 691 344 859, Level 13, 333 George St, Sydney NSW 2000.
